Mr. Dzivi has over 20 years of experience representing various types of financial institutions and corporations on complex financial matters.  His background in the financial services practice includes serving as counsel to the United States Senate Banking Committee, a partner at Pillsbury Madison & Sutro, LLP and Acting General Counsel at the Federal Home Loan Bank of San Francisco.

During the 1980's savings and loan crisis, Mr. Dzivi first served as counsel advising the federal banking regulators on enforcement actions against institutions and individuals.  Later, he served as counsel to the Senate Banking Committee, advising the Committee on its regulatory oversight responsibilities and drafting legislation.  Mr. Dzivi also was the principal advisor to the Committee Chairman on financial institution accounting issues.

 

In private practice at Pillsbury, Madison & Sutro, LLP, Mr. Dzivi represented a large number of corporations, financial institutions and high net worth individuals.  His practice was focused on financial institutions and included litigation, transactional and regulatory matters.

 

After founding the Firm, Mr. Dzivi served as Acting General Counsel for the Federal Home Loan Bank of San Francisco for approximately one year.

Mr. Dzivi’s recent practice includes the following types of matters:

Counseling client and preparing transaction documents for complex lending transactions with embedded derivatives.

Assisting a client in presentations to a regulatory agency on examination issues, drafting proposed amendments to regulations, and issuing an opinion letter regarding authority to undertake new types of transactions.

Assisting shareholders in obtaining corporate governance reforms from financial institutions and corporations.

From 2004 to 2006, Mr. Dzivi was a member of the California State Bar Financial Institutions Committee and chaired the Subcommittee on Federal Legislation.
